By accessing and using the Hitasoft Technology Solutions website and services ("Services"), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms of Service, please do not use our Services.

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software, are the exclusive property of Hitasoft Technology Solutions and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
For custom development projects, ownership of deliverables will be outlined in separate service agreements. Generally, upon full payment, clients receive ownership of the final deliverables, while we retain ownership of any pre-existing materials, tools, or methodologies.

We take confidentiality seriously and will protect any confidential information shared with us during the course of our engagement. We may require a separate Non-Disclosure Agreement (NDA) for projects involving sensitive information. Both parties agree to maintain the confidentiality of proprietary information shared during the engagement.
We warrant that our Services will be performed in a professional and workmanlike manner. Any specific warranties for deliverables will be outlined in the relevant service agreement.
EXCEPT AS EXPRESSLY PROVIDED IN A SERVICE AGREEMENT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HITASOFT TECHNOLOGY SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF OUR SERVICES.
Our total liability for any claims arising from or related to our Services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.
You agree to indemnify, defend, and hold harmless Hitasoft Technology Solutions, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of our Services or violation of these Terms.
We reserve the right to terminate or suspend access to our Services immediately, without prior notice or liability, for any reason, including but not limited to:
Upon termination, your right to use the Services will immediately cease. Termination does not relieve you of any payment obligations incurred prior to termination.
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Hitasoft Technology Solutions is registered, without regard to its conflict of law provisions.
Any disputes arising from these Terms or our Services shall be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement or violation of confidentiality obligations.
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
These Terms, together with any service agreements or statements of work, constitute the entire agreement between you and Hitasoft Technology Solutions regarding our Services and supersede all prior agreements and understandings.
